1. About Us

Ithaca.sg is operated by Ithaca Pte Ltd, a company incorporated in Singapore.

In these Terms and Conditions, “Ithaca”, “we”, “us” and “our” refer to Ithaca Pte Ltd, operating through the Ithaca.sg website. “You” and “your” refer to any website visitor, participant, client, organisation or other person using our website or services.

Our services include public workshops, corporate training, customised learning programmes and related consulting services delivered in Singapore and, where agreed, across the region.

2. Use of This Website

You agree to use this website lawfully and responsibly. You must not:

  • Use the website for any unlawful, fraudulent or misleading purpose.

  • Attempt to gain unauthorised access to the website, its systems or its data.

  • Interfere with the website's operation, security or availability.

  • Copy, reproduce, distribute or commercially exploit website content without our prior written permission, except where permitted by law.

We may update, suspend or discontinue any part of the website where reasonably necessary. We do not guarantee uninterrupted or error-free access.

3. Our Services

Ithaca provides professional learning and development services, which may include:

  • Public workshops and open-enrolment training.

  • Corporate and organisational training.

  • Customised learning programmes and facilitated sessions.

  • Training materials, resources and related consultancy services.

Programme descriptions, learning objectives, formats, dates, venues, fees and other details are provided on the website, in promotional materials, quotations or written agreements.

We aim to ensure that published information is accurate and up to date. However, programme content, trainers, schedules and delivery arrangements may occasionally need to change.

Where a material change is required, we will take reasonable steps to inform affected participants or clients.

4. Bookings and Registration

4.1 Public workshops

A booking request is subject to availability and confirmation by Ithaca. Where online registration or payment is available, the applicable booking instructions will be provided at the time of registration.

You are responsible for providing accurate registration and contact information and for notifying us of any relevant changes.

A place is considered confirmed when we have accepted the booking and any applicable registration requirements have been met.

4.2 Corporate and customised programmes

Corporate training and customised programmes are arranged through a quotation, proposal, purchase order or other written agreement.

The agreed scope, objectives, programme dates, participant numbers, fees, deliverables and payment arrangements will be set out in the relevant documents.

Where these Terms and Conditions conflict with a separately signed agreement or an expressly accepted written proposal, the specific agreement will prevail for the matters it addresses.

4.3 Changes to bookings

Requests to change participant names, dates, venues, programme formats or other booking details must be submitted in writing.

We will consider reasonable requests, subject to availability, feasibility and any additional costs. Changes are not confirmed until agreed by Ithaca in writing.

5. Fees and Payment

All fees will be communicated in the applicable programme listing, quotation, proposal or invoice.

Unless otherwise agreed in writing:

  • Public workshop fees must be paid in accordance with the booking instructions or invoice.

  • Corporate and customised programmes will generally be invoiced after programme delivery, or according to other payment terms agreed with the client.

  • Any deposit, advance payment, staged payment or additional expense will be governed by the relevant quotation or written agreement.

  • Any applicable taxes, travel expenses, venue charges or other additional costs will be disclosed or agreed before they are incurred.

Invoices must be paid by the stated due date. If payment is overdue, we may contact the client to arrange settlement and, where reasonably necessary and legally permitted, suspend future services until outstanding amounts are resolved.

Please contact us promptly if you believe an invoice contains an error or if you anticipate difficulty meeting an agreed payment deadline.

6. Refunds and Cancellations

Our Refund and Cancellation Policy forms part of these Terms and Conditions and should be read alongside this section.

7. Programme Delivery and Participation

We aim to deliver programmes professionally and in accordance with the agreed objectives and scope.

Participants are expected to:

  • Attend punctually and participate respectfully.

  • Follow reasonable instructions from trainers, facilitators and venue personnel.

  • Respect the privacy, safety, views and contributions of other participants.

  • Refrain from disruptive, discriminatory, abusive or otherwise inappropriate conduct.

  • Comply with applicable venue rules and relevant laws.

We reserve the right to take reasonable steps to address conduct that materially disrupts a programme or compromises the safety or wellbeing of others. Depending on the circumstances, this may include asking a participant to stop the conduct or leave the session.

Any decision to exclude a participant will be handled fairly and subject to applicable law and the relevant booking terms.

8. Intellectual Property

Unless otherwise stated, all intellectual property rights in the Ithaca.sg website and our original training materials, presentations, exercises, frameworks, graphics, documents, methodologies and other content belong to Ithaca or our respective licensors.

Materials are provided for personal learning or the agreed internal use of the client, as applicable. Unless we have given prior written permission or the relevant agreement provides otherwise, you must not:

  • Reproduce, publish, sell, distribute or commercially exploit our materials.

  • Record, reproduce or distribute training sessions or trainer presentations.

  • Remove copyright notices, branding or other ownership acknowledgements.

  • Use our materials to develop, deliver or commercialise competing training products.

Clients and participants retain ownership of their own pre-existing intellectual property and materials they independently create. Any licence, assignment or additional usage rights must be agreed in writing.

Nothing in this section restricts rights that apply under mandatory law.

9. Confidentiality

During a programme or engagement, participants and clients may share confidential, commercially sensitive or proprietary information.

Each party agrees to take reasonable steps to protect confidential information received from the other party and to use it only for the purpose for which it was disclosed.

Confidential information should not be disclosed to third parties without permission, except where disclosure is authorised, required by law or necessary for the performance of the agreed services.

This section does not apply to information that is publicly available through no breach of confidentiality, was lawfully known beforehand, or is independently developed without using confidential information.

Where a corporate engagement requires additional confidentiality protections, the parties may enter into a separate non-disclosure agreement or include additional provisions in their written agreement.

10. Privacy and Personal Information

We may collect and use personal information such as names, contact details, registration information, feedback and relevant administrative records to manage enquiries, bookings, programme delivery, client relationships and business operations.

We handle personal information in accordance with our Privacy Policy and applicable data protection laws, including Singapore's Personal Data Protection Act 2012 where applicable.

Please refer to our Privacy Policy for further information about the personal information we collect, how it is used, when it may be disclosed and how you may contact us regarding your information.

11. Third-Party Websites and Services

Our website may contain links to third-party websites, platforms or resources for convenience or information. We do not control third-party websites and are not responsible for their content, availability, security or privacy practices.

Accessing a third-party website is at your own discretion and subject to that provider's terms and policies.

12. Information and Learning Outcomes

Our website and training programmes are intended to provide educational, professional development and learning services.

We take reasonable care in preparing our content and delivering our programmes. However, examples, case studies, opinions, tools and recommendations are provided for educational and general informational purposes.

Unless expressly agreed in writing, we do not guarantee a particular business result, career outcome, qualification, performance improvement or other individual outcome from participating in a programme.

Participants and clients remain responsible for evaluating and applying information in their own circumstances.

13. Liability

To the extent permitted by applicable law, Ithaca will not be responsible for indirect or consequential losses arising from the use of this website or participation in our services where such losses are not reasonably foreseeable or are otherwise lawfully excluded.

We will exercise reasonable care and skill in providing our services. Nothing in these Terms and Conditions excludes or limits liability that cannot lawfully be excluded or limited, including any applicable liability for death or personal injury caused by negligence.

Where liability may lawfully be limited, any limitation must be reasonable and consistent with the applicable contract and mandatory legal requirements.

Neither party is relieved of its obligations merely because an event is inconvenient or costly. Where an event beyond a party's reasonable control materially affects programme delivery, the parties will communicate promptly and seek reasonable alternative arrangements.

14. Changes to These Terms

We may update these Terms and Conditions from time to time to reflect changes in our services, business practices or legal obligations.

The latest version will be published on this website with its updated date.

Changes will apply to future use of the website and new bookings from the effective date stated in the updated terms. Changes to an existing corporate engagement will be subject to the relevant agreement and applicable law.

15. Governing Law and Disputes

These Terms and Conditions are governed by the laws of Singapore, subject to any mandatory legal protections or rules that apply to a particular transaction.

If a dispute arises, the parties should first attempt to resolve it through good-faith discussions.

Where appropriate, the parties may consider mediation or another mutually agreed dispute resolution process before commencing legal proceedings.

Nothing in this section prevents either party from exercising a legal right or seeking a remedy available under applicable law.

16. General Provisions

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law. A failure or delay in exercising a right does not necessarily constitute a waiver of that right.

These Terms and Conditions, together with the relevant programme details, Refund and Cancellation Policy, Privacy Policy and any applicable written agreement, govern the relevant use of our website and services.

If you have questions about these Terms and Conditions, please contact us through the contact details provided on the Ithaca.sg website.

Thank you for choosing Ithaca.sg. We look forward to supporting your learning and development.
